Franchising

The core of a franchise arrangement is a license of intellectual property. Franchise agreements are necessarily complex due to the need to protect the interests of the franchisor, the franchisee, and the other franchisees. In most cases, the franchisee will be authorised to use:

  • the brand;
  • the get-up (ie the particular “look” or colour scheme associated with the franchise’s premises, vehicles, clothing, etc);
  • documents like instruction manuals and advertising materials;
  • systems and/or procedures.
